Terms of Service

1. Who these terms are with

These Terms of Service are an agreement between you and TROTHFIN LIMITED (RC 9818424), a company registered in Nigeria (“TrothFin”, “we”, “us”), with its registered office at No 8 Olasoju Adebayo Street, Ali Dada, Ago Palace, Lagos State, Nigeria. By onboarding on WhatsApp or using the TrothFin service you accept these terms.

2. The service

TrothFin provides earned-wage access: it lets employees of a registered employer receive a portion of wages they have already earned before payday, through a token that the employer issues on WhatsApp. TrothFin charges a fee based on the amount withdrawn, never interest. TrothFin is not a lender and does not provide credit.

3. Eligibility

You may use TrothFin only if you are at least 18 years old and are a current employee of a business that has registered with TrothFin and been activated by us. You must complete identity and employment verification before you can transact.

4. How tokens work

  • Only your employer's authorised number can generate a token for you.
  • A token does not carry a fixed amount — you choose how much to withdraw (between ₦5,000 and ₦10,000) each time you use it, and can use it repeatedly, up to 50% of your monthly salary as recorded by your employer in total.
  • Withdrawals are available from the 15th of each month onward.
  • A token expires at the end of the month, or earlier if your employer cancels it. Your employer may cancel an unused token at any time.
  • Each token is locked to one employee and can be redeemed only from the phone number it was issued to.

5. PIN and identity gate

You set a private transaction PIN during onboarding. Keep it secret. If a token is presented from a phone number other than the one it was issued to, the token is permanently voided as a fraud-prevention measure. Three consecutive incorrect PIN entries will suspend the token and your account until your employer arranges reactivation.

6. Fees and repayment

Each withdrawal must be for an amount between ₦5,000 and ₦10,000, which you choose yourself when you redeem your code. The fee scales with the amount, from ₦500 (for ₦5,000) up to ₦750 (for ₦10,000), and is shown to you before you confirm a withdrawal.

You receive the requested amount minus the fee. The full requested amount (before the fee) is deducted once from your next payroll payment by your employer. By using a token you authorise that payroll deduction.

7. Your responsibilities

  • Give accurate identity, employment and bank information, and keep it up to date.
  • Use TrothFin only for your own withdrawals against tokens issued to you.
  • Do not attempt to redeem a token issued to another person or to circumvent the identity gate.
  • Do not use TrothFin for any unlawful purpose, including fraud or money laundering.

8. Employer responsibilities

Registered employers are responsible for issuing tokens only for wages genuinely earned, for keeping salary and roster data accurate, for making the corresponding payroll deductions, and for settling amounts owed to TrothFin on payday.

9. Statutory compliance & tax indemnity

Core responsibility. The Service operates strictly as a net-disbursement and secondary-deduction tool. The registered employer using TrothFin (“the User”) assumes sole responsibility for accurately calculating, withholding and remitting all statutory deductions — including but not limited to PAYE Income Tax, pension contributions, and National Housing Fund (NHF) remittances — prior to inputting any monthly income figures into the Platform.

Indemnification. The User agrees to indemnify, defend and hold harmless the Service Provider from any and all liabilities, legal claims, government audits, fines, penalties or back-taxes arising from the User's failure to comply with the Nigerian Labour Act, the Pension Reform Act, or other relevant tax laws.

10. Availability

We aim to keep the service available but do not guarantee uninterrupted operation. If a payment gateway, bank network or liquidity issue prevents a payout, a valid token is kept active or queued rather than consumed, so you do not lose it because of an infrastructure fault outside your control.

11. Disclaimers and liability

The service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, TrothFin is not liable for indirect or consequential loss, and our total liability arising from your use of the service is limited to the fees you paid to TrothFin in the three months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited under Nigerian law.

12. Suspension and termination

We may suspend or close your access if you breach these terms, if required by law or a regulator, if fraud is suspected, or if your employer's account is deactivated.

13. Changes to these terms

We may update these terms from time to time. Material changes will be notified through the service. Continuing to use TrothFin after a change takes effect means you accept the updated terms.

14. Governing law

These terms are governed by the laws of the Federal Republic of Nigeria, and the Nigerian courts have jurisdiction over any dispute.
